NOTICE OF PUBLIC HEARING PENNSYLVANIA ECONOMIC DEVELOPMENT FINANCING AUTHORITY The Pennsylvania Economic Development Financing Authority (the "Authority") will hold a public hearing on June 26, 2014, at 10:00 a.m. prevailing time, at the offices of the Authority located at Commonwealth Keystone Building 400 North Street, 4th Floor Harrisburg, PA 17120-0225, to discuss the issuance of a tax-exempt revenue bonds or notes (the "Notes") by the Authority for the following projects: A. Initial Owner/Operator: Passavant Memorial Homes, a Pennsylvania nonprofit corporation, Passavant Memorial Homes Foundation, a Pennsylvania nonprofit corporation and/or an affiliate thereof ("Passavant"). B. Maximum Amount of Notes: $20,000,000. C. Description of the Project to be Financed: The proceed of the Notes will be loaned to Passavant to finance a project (the "Project") consisting of (i) the refunding of the Allegheny Industrial Development Authority's $11,400,000 Revenue Notes (Passavant Memorial Homes Project) Series of 2011, (ii) the refunding of certain taxable loans made to Passavant, and (iii) the payment of all or a portion of the related financing costs. The proceeds of the refunded debt were used by Passavant to finance or refinance the acquisition and improvement of certain group homes and related facilities located in Pennsylvania. D.
